Unless stated otherwise in writing by Riema USA LLC, all sales are made subject to these terms and conditions. All payments due Riema USA LLC shall be due and payable in accordance with the terms. No terms or conditions of purchase orders different from these terms and conditions will become part of any sales agreement, purchase, or other document unless specifically approved in writing by Riema USA LLC. Any tax or other charge imposed by law on the sale of goods or the performance of services shall be paid by the Buyer (Buyer), unless the law specifically provides that such payment must be made by Riema USA LLC.
The customer agrees not to hold Riema USA LLC responsible for any delay caused in whole, or in part, by circumstances beyond Riema USA LLC's reasonable control, including but not limited to force majeure, delays by carriers or delays in shipment or receipt of materials from suppliers. Riema USA LLC will not be liable under any circumstance for consequential or incidental damages arising out of or in connection with your order.
Limited Warranty on Manufactured Goods
Riema USA LLC warrants that for a period of one year from the date of shipping, merchandise shall be free from defects in materials & workmanship under normal use provided such merchandise is correctly maintained. This warranty does not apply to products that have been subject to misuse, abuse, neglect, improper storage, handling or maintenance. The customer's exclusive remedy for breach of this warranty is the replacement by Riema USA LLC of any defective merchandise returned to Riema USA LLC within the one year period. In no event shall Riema USA LLC be liable for any incidental or consequential damages or for loss of profits or for any other damages not withstanding that Riema USA LLC may have been advised that such damage may be likely to occur. The foregoing is the Riema USA LLC exclusive warranty and is in lieu of all other warranties, express or implied, including warranties of merchantability or fitness for any purpose. Riema USA LLC shall not be liable to customer on any claim of negligence or for any manufacturer's strict liability on any merchandise. Information provided by a Riema USA LLC employee, outside salesperson or other representative is subject to this limited warranty. No one is authorized to change the foregoing provisions or assume any obligations or liabilities for Riema USA LLC. Limited Warranty on Distributed Goods
On tools not manufactured by Riema USA LLC but sold by Riema USA LLC, the manufacturer of the tools is responsible for all warranty information and claims. Riema USA LLC shall not be liable to customer on any claim of negligence or for any manufacturer's strict liability on any merchandise.
Sales Literature, Illustrations, and Descriptions
Riema USA LLC has made a diligent effort to accurately illustrate and describe the products in its catalogs and other sales materials. However, the illustrations and descriptions are for the sole purpose of identification and do not express or imply any additional warranty or that the product will conform to the exact illustrations or descriptions represented in such catalogs or other sales materials. Actual products may differ from illustrations due to continued quality and engineering improvements.
Jurisdiction
All terms and conditions shall be construed and enforced in accordance with the laws of the State of Utah. Any dispute arising between Riema USA LLC and the Buyer may be resolved by litigation or binding arbitration at the option of Riema USA LLC. Venue for said litigation or arbitration shall be exclusively in Davis County, Utah and, in the event of arbitration, shall be conducted by an arbitration service selected by Riema USA LLC and a single arbitrator shall preside over arbitration. FOR ALL TRANSACTIONS CONTEMPLATED BY THESE TERMS AND CONDITIONS, THE BUYER IRREVOCABLY CONSENTS TO THE JURISDICTION OF THE STATE COURTS OF DAVIS COUNTY UTAH FOR ANY DISPUTE THAT MAY ARISE BETWEEN THE PARTIES. THE BUYER HEREBY KNOWINGLY AND INTENTIONALLY WAIVES THE RIGHT TO A JURY TRIAL ON ANY ISSUE OR DISPUTE THAT MAY ARISE BETWEEN THE PARTIES. The Buyer agrees to waive all venue objections, notice of sale and delivery of goods, extension or rearrangement of terms. Riema USA LLC may at any time, and subject to applicable law, change or add to the terms and conditions stated herein.
Terms
These terms and conditions shall constitute the entire agreement between Riema USA LLC, and the customer, and shall be governed by and construed according to the laws of the State of Utah and the United States of America.
